TixEvery – Event Organiser Terms & Conditions (Tickets, Products & Add-ons) – Agency Model

These Terms & Conditions (“Organiser Terms”) govern the provision of services by TixEvery (“TixEvery”, “we”, “us”, “our”) to you as an event organiser, promoter, venue, producer, seller, artist representative or other provider listing tickets, products or add-ons (“Organiser”, “you”, “your”). Together with any platform rules, policies, onboarding materials, pricing displayed in the admin console, and any additional written agreement between you and TixEvery, these Organiser Terms form a binding agreement (“Agreement”).
By creating an organiser account, listing an Event, Ticket, Product or Add-on, or otherwise using the Platform, you agree to these Organiser Terms.
Definitions
Add-on(s): Optional items offered alongside Tickets (or in connection with an Event) such as upgrades, bundles, meet-and-greets, donations, merchandise, experiences, VIP items, digital downloads, or other items configured on the Platform.
Buyer/Customer: A consumer or business purchasing Tickets and/or Products and/or Add-ons through the Platform.
Booking Fee: The service/booking fee charged in connection with Tickets and/or Products and/or Add-ons (where permitted and enabled), as configured on the Platform.
Excluded Add-ons: donations; booking protection, refund protection or Secure My Booking products; physical ticket distribution; souvenir or commemorative tickets; and other special third-party or separately agreed products that may be excluded from platform fee calculations, Organiser revenue, Organiser payout calculations, booking-fee share/kickback or standard pricing depending on the product and applicable written terms.
Event: Any event listed by the Organiser via the Platform.
Face Value: The price set by the Organiser for a Ticket, Product or Add-on, excluding Booking Fee and any taxes (unless stated otherwise).
Order: A purchase transaction for one or more Tickets and/or Products and/or Add-ons made by a Buyer.
Platform: The TixEvery website(s), checkout pages, admin console and related technology used to list, sell and manage Tickets, Products and Add-ons.
Product(s): Standalone products sold through the Platform (including digital products) and/or products sold in relation to an Event, excluding Tickets.
Prohibited Content/Events: As defined in clause 3C.
Agency, Merchant of Record and Contracting Structure
2.1 Organiser is the Seller/Merchant. Unless expressly agreed otherwise in writing, the Organiser is the merchant of record and seller of Tickets, Products and Add-ons listed by the Organiser and is solely responsible for fulfilment and delivery.
2.2 TixEvery acts as Organiser’s agent. The Organiser appoints TixEvery as its limited sales facilitation and payment collection agent for the purpose of: (a) listing Tickets/Products/Add-ons on the Platform; (b) facilitating Orders; (c) collecting funds from Buyers (where applicable); and (d) providing operational tooling (e.g., e-ticket issuance, scanning, reporting).
2.3 Buyer contract is with the Organiser. The Organiser acknowledges that the contract of sale is formed between the Buyer and the Organiser, not between the Buyer and TixEvery, subject to clause 2.4.
2.4 Platform terms still apply to Buyers. Buyers may also be subject to separate customer-facing platform terms regarding use of the Platform. Nothing in such terms makes TixEvery the seller of Tickets/Products/Add-ons.
2.5 No partnership. Nothing in this Agreement creates a partnership, joint venture or employment relationship. TixEvery does not act as an agent for the Buyer.
Organiser Responsibilities
3.1 Event delivery. The Organiser is solely responsible for the Event and all operational delivery.
3.2 Listings accuracy. The Organiser is responsible for all content, pricing, descriptions, inventory, delivery timelines, restrictions, and compliance related to Tickets, Products and Add-ons.
3.3 Customer service. The Organiser is responsible for Buyer support, disputes, complaints and refund requests relating to Tickets, Products and Add-ons, subject to clause 9.
3A. Compliance, Legality, Platform Integrity and Takedown Rights
3A.1 Lawful events and listings. The Organiser must ensure that every Event, Ticket, Product and Add-on listed on the Platform: (a) is lawful and does not breach any applicable laws, regulations, licensing conditions, venue rules, advertising standards, or third-party rights; (b) is accurately described and not misleading; and (c) can be lawfully delivered/fulfilled as described.
3A.2 Rights and permissions. The Organiser warrants it has all necessary rights, permissions, licences and consents to stage and promote the Event; sell Tickets; and sell any Products/Add-ons (including merchandising rights, IP rights, image/likeness rights and required venue permissions).
3A.3 Platform standards and reasonable care. TixEvery is committed to maintaining a safe and lawful marketplace and may apply reasonable checks and controls aimed at reducing unlawful or non-compliant listings and protecting Buyers and the Platform. However, the Organiser acknowledges that TixEvery cannot independently verify the legality of every listing and does not guarantee that all third-party listings will be lawful or compliant at all times.
3A.4 Right to remove, suspend or restrict. TixEvery may, at its sole discretion and without liability to the Organiser, refuse, remove, hide or suspend any Event, Ticket, Product, Add-on or listing; suspend ticket sales; suspend payouts and/or access to the Platform; and/or terminate the Organiser’s account, where TixEvery reasonably believes there is a breach of this Agreement, fraud/risk concerns, customer harm, misleading content, unlawful activity, or other inappropriate conduct.
3A.5 Customer reporting and escalation. TixEvery may provide Buyers with a mechanism to report or escalate Events or listings believed to be in breach. TixEvery may investigate and take actions including removal, suspension, evidence requests, or contacting relevant authorities where appropriate.
3A.6 Requests for evidence and cooperation. TixEvery may request documentation/evidence (e.g., venue agreement, licences, insurance, rights permissions, proof of identity/business, or other compliance documentation). The Organiser must respond promptly and accurately. Failure to provide evidence may result in suspension or removal.
3A.7 Cooperation with authorities. Where TixEvery receives credible complaints, regulatory enquiries, legal notices or requests from competent authorities, we may cooperate and provide reasonable assistance (including sharing relevant data where lawful) to support investigation or enforcement action.
3A.8 Organiser liability. The Organiser remains solely responsible and liable for legality/compliance of its listings and any resulting refunds, chargebacks, penalties, fines, taxes, or liabilities.
3A.9 No guarantee; limitation of liability. While TixEvery may take reasonable steps to maintain platform integrity, TixEvery does not accept liability for unlawful or non-compliant Events listed by Organisers, except to the extent such liability cannot be excluded by law or arises directly from TixEvery’s own breach.
3B. Notice and Appeal Process
3B.1 Notice. Where reasonably practicable, TixEvery may provide notice to the Organiser of a suspension/removal and the reason for it.
3B.2 Immediate action. TixEvery may act immediately (without prior notice) where we reasonably believe this is required to prevent customer harm; mitigate fraud/security risk; comply with law; respond to authority requests; or prevent platform abuse.
3B.3 Appeal. The Organiser may submit an appeal by emailing support@tixevery.com with supporting evidence within 7 days of notice (or of discovering the action). TixEvery will review and may reinstate, keep restricted, or permanently remove the listing/account at its discretion.
3B.4 No obligation to reinstate. TixEvery is not required to reinstate any listing or account and may maintain restrictions where risk remains.
3C. Prohibited Events/Content
The Organiser must not list, sell, promote, or facilitate through the Platform any Event, Product or Add-on that involves, promotes, or is reasonably associated with:
(a) Illegal activity (including unlawful drugs/substances, illegal weapons, trafficking, or facilitation of crime); (b) Hate/extremism (content promoting hatred, violence, or extremist organisations); (c) Violence or threats (incitement, threats, or instructions to cause harm); (d) Unlicensed gambling or unlawful prize promotions; (e) Counterfeit or stolen goods or infringement of third-party IP rights; (f) Adult content where unlawful or where age-verification/compliance is not met; (g) Misleading or deceptive listings (material omissions, false claims, bait-and-switch); (h) Events without rights/permissions (no venue permission, unlicensed public performance, missing regulatory approvals); (i) Any category TixEvery designates as prohibited in Platform policies from time to time.
TixEvery may remove listings or accounts for suspected prohibited content, even where the Organiser disputes the classification.
Tickets: Issuance, Entry and Scanning
4.1 Tickets are typically delivered electronically (QR/e-tickets) via the Platform. 4.2 The Organiser is responsible for entry policies and on-the-day operations. 4.3 TixEvery provides scanning tools but does not guarantee fraud-free entry.
Products & Add-ons (including Organiser/Promoter/Artist-created items)
5.1 Who may create Products/Add-ons. Products/Add-ons may be created and listed by: (a) the Organiser; and/or (b) the Organiser’s linked promoter(s) and/or artist(s) acting under the Organiser’s direction and authority (as configured in the Platform).
5.2 Fulfilment responsibility. Unless expressly agreed otherwise in writing: (a) The Organiser is solely responsible for fulfilment, delivery, stock management, quality, and customer support for all Products/Add-ons created by the Organiser and/or linked promoters/artists. (b) TixEvery does not store, ship, manufacture, deliver, or fulfil Products/Add-ons on behalf of the Organiser.
5.3 Digital fulfilment. The Organiser must ensure the Buyer can access/receive digital items as described.
5.4 Third-party rights. The Organiser warrants it has rights to sell Products/Add-ons.
Payments Models (Standard vs Connect)
TixEvery may offer two payment settlement models. The model used may be controlled by TixEvery (including via a super-admin toggle) and may change with notice.
6.1 Standard Settlement (No Connect) (a) Buyer payments may be processed through TixEvery’s payment setup. (b) TixEvery collects Order funds as the Organiser’s agent. (c) TixEvery maintains records of amounts due and may remit funds, subject to deductions and reserves in this Agreement.
6.2 Connect Settlement (Organiser Connect Account) (a) Where enabled, the Organiser may connect its payment account (e.g., Stripe Connect). (b) Settlement may be made to the Organiser’s connected account under Platform settings. (c) The Organiser remains the seller/merchant of record unless agreed otherwise in writing.
Platform Fees, Payment Processing Fees and Exclusions
7.1 TixEvery Platform Fee. TixEvery’s platform fee is charged as a percentage of Ticket Face Value, Product Face Value or Add-on Face Value, as applicable. Fees are calculated in accordance with the Organiser’s selected plan, applicable organiser agreement, pricing page, or agreed commercial terms.
7.2 Public pricing tiers. Where public pricing applies, the current tiers are: Launch at 3.4% for new events and independent organisers selling up to 5,000 tickets annually; Growth at 2.9% for growing venues and event teams selling 5,000 to 25,000 tickets annually; and Scale at 2.4% for high-volume venues, promoters and festivals selling 25,000+ tickets annually. Bespoke or negotiated commercial terms may apply instead where agreed in writing.
7.3 Payment processing fees are separate. Payment processing fees, including Stripe fees, are separate from the TixEvery platform fee. Stripe/payment processing fees may be estimated in checkout, previews, reporting or admin tools where needed, then reconciled using actual payment provider fees where available.
7.4 Variance and responsibility. Any Stripe/payment processing fee variance is borne by the Organiser and does not reduce TixEvery’s platform fee. If the Organiser absorbs fees, the Organiser bears both the TixEvery platform fee and the actual payment processing fee.
7.5 Passing on or absorbing fees. Organisers may choose whether to pass fees on to Customers through booking fees where permitted, or absorb fees themselves. The Organiser is responsible for ensuring any Customer-facing booking fee is lawful, accurately described and consistent with the Organiser’s pricing and consumer-law obligations.
7.6 Excluded Add-ons and separate terms. Donations; booking protection, refund protection or Secure My Booking products; physical ticket distribution; souvenir or commemorative ticket products; and other special third-party or separately agreed products or services may be excluded from platform fee calculations, Organiser revenue, Organiser payout calculations, booking-fee share/kickback or standard pricing depending on the product. Donations are excluded from TixEvery platform fee calculations unless expressly agreed otherwise in writing, but may still be subject to payment processing fees, Stripe fees, chargeback costs, refund costs or other transaction costs. Booking protection, refund protection or Secure My Booking products are separate optional protection products and are not treated as Organiser ticket revenue. Any commission, margin, fee or commercial return connected with such protection products is governed by the applicable agreement between TixEvery and the protection provider, unless TixEvery expressly agrees otherwise in writing with the Organiser. These products may still be subject to payment processing costs, refund rules, chargeback rules and the relevant third-party provider terms.
7.7 Rounding. Calculations are rounded to the nearest penny; TixEvery’s calculation prevails where a 1p variance occurs.
Payouts, Reserves and Withholding
8.1 Payout timing depends on settlement model, payment settlement times, risk checks and chargeback windows.
8.2 TixEvery may place reserves/holds or withhold amounts to manage risk, refunds, chargebacks, suspected fraud, policy breaches, or legal/regulatory requirements.
8.3 TixEvery may set off amounts owed by the Organiser against sums otherwise payable.
Refunds, Cancellations and Chargebacks
9.1 Organiser sets and honours refund/transfer policies for Tickets/Products/Add-ons.
9.2 Organiser is liable for refunds due (cancellation/postponement/material change/non-delivery/legal requirements).
9.3 TixEvery may process refunds as agent; refunds reduce sums due to the Organiser.
9.4 Organiser bears chargebacks/dispute fees unless caused solely by TixEvery platform error.
Taxes (including VAT) – Organiser Responsibility
10.1 The Organiser is responsible for all taxes (including VAT) on Ticket Face Value, Product/Add-on Face Value, and any other amounts forming the Organiser’s taxable supply.
10.2 Unless otherwise agreed in writing, TixEvery acts as agent and does not assume liability for VAT/taxes on Face Value.
10.3 If/when TixEvery is VAT registered, VAT may apply to TixEvery’s own fees/supplies to the Organiser; VAT invoices will be issued where applicable.
10.4 The Organiser indemnifies TixEvery for liabilities arising from the Organiser’s tax obligations or misstatements (except where caused by TixEvery’s breach).
Data Protection, Legitimate Interests and Marketing Rules
Data Protection Roles (1) Controller/Processor roles. The Organiser acknowledges that, depending on the circumstances, TixEvery may act as either a Data Controller (for platform-level analytics, security, fraud prevention, account administration and service improvement) or a Data Processor when processing Customer personal data on the Organiser’s behalf to facilitate Orders and administer Events. This approach reflects common ticketing-platform practice where the platform may be controller in some contexts and processor in others.
(2) Organiser as Controller for Event customer data. In relation to Customer personal data collected for the purpose of selling Tickets/Products/Add-ons and administering an Event, the Organiser is a Data Controller and is responsible for ensuring it has a lawful basis to process that data and for complying with UK GDPR and PECR (as applicable).
Lawful Bases and Legitimate Interests (3) Contract and event administration. Customer personal data may be processed to complete Orders and administer the Event (including payment processing, ticket delivery, confirmations, operational updates, customer support and entry management).
(4) Legitimate interests - Organiser and TixEvery. Where permitted by law, and similar to common ticketing-platform practice, the Organiser may contact a Customer who has booked a Ticket, Product or Add-on using Customer personal data on the basis of legitimate interests to: (a) administer the Event/Order and deliver fulfilment; and (b) promote the Event and future events that are reasonably related, and to maintain the Organiser–Customer relationship, provided that such interests are not overridden by the Customer’s rights and freedoms and the Organiser complies with all applicable marketing and privacy laws, including PECR requirements for consent or soft opt-in and any required opt-out at the point of data collection and in every marketing message. TixEvery may also process and contact Customers where permitted by law on the basis of its own legitimate interests (and/or those of the Organiser and other third parties) for purposes such as operating and protecting the Platform, preventing fraud, enforcing policies, maintaining service integrity, improving platform performance and reliability, and providing platform communications to Customers. Legitimate interests are subject to rights balancing and do not permit unlimited marketing.
Data Access (5) Access by Organiser and TixEvery. The Organiser acknowledges that: • The Organiser will have access to Customer personal data collected through the Platform for the Organiser’s Tickets/Products/Add-ons; and • TixEvery will also have access to relevant Customer personal data to operate the Platform, provide services, administer Orders, and support the Organiser’s use of the Platform.
Secure Storage and GDPR Compliance (6) Security. TixEvery stores Customer personal data on secure servers and implements appropriate technical and organisational measures designed to protect personal data against unauthorised access, loss, misuse, alteration or disclosure, consistent with applicable data protection law.
Unsubscribe, Objections and Honour of Preferences (7) Unsubscribe/opt-out must be honoured promptly. Customers must be able to opt out of marketing communications from the Organiser and/or TixEvery. Any opt-out, objection, or unsubscribe request must be honoured promptly and in any event within legally required timeframes. Where platform mechanisms exist to manage preferences, these will be honoured.
(8) Transactional vs marketing. Transactional communications (e.g., purchase confirmations, ticket delivery, essential event updates, fulfilment updates, security notices) may still be sent where necessary to perform the contract and administer the Event/Order. Any communications sent for marketing purposes must comply with applicable law and honour opt-outs.
(9) Organiser liability for non-compliance. If the Organiser fails to honour unsubscribe/opt-out requests or otherwise breaches applicable data protection or marketing laws, the Organiser will be solely responsible for any resulting claims, investigations, penalties, fines, costs, liabilities, or regulatory action, and will indemnify TixEvery for losses arising from the Organiser’s non-compliance (except to the extent caused by TixEvery’s breach).
Customer Data and Communications (Operational)
12.1 The Organiser may use Buyer data only for fulfilment, customer support, and lawful communications consistent with GDPR/PECR and this Agreement.
12.2 The Organiser is responsible for obtaining any marketing consents required by law, ensuring any PECR soft opt-in conditions are met before sending marketing without consent, providing opt-outs at collection where required and in every marketing message, and maintaining suppression lists/opt-outs.
12.3 Where Platform tools are used, the Organiser must use them in accordance with this Agreement and applicable law.
12A. Suppression List / Opt-out Enforcement (Black-and-White)
12A.1 Suppression list requirement. The Organiser must maintain and apply an up-to-date suppression list of Customers who have opted out, unsubscribed, or objected to marketing, and must ensure such preferences are respected across all channels the Organiser uses (email, SMS, any third-party marketing tools, and any audience/retargeting lists where applicable and lawful).
12A.2 Immediate honour of opt-outs. Opt-outs/unsubscribes must be honoured promptly and in any event within legally required timeframes. Transactional messages necessary to administer an Order/Event may still be sent as permitted by law.
12A.3 Platform enforcement. TixEvery may, at its discretion, require evidence of compliance (e.g., suppression list process, campaign logs), restrict the Organiser’s access to customer data exports, disable Organiser marketing tools, and/or suspend or terminate the Organiser account where we reasonably believe there are repeated or serious breaches of opt-out obligations.
12A.4 Liability. The Organiser is solely liable for consequences of non-compliance and indemnifies TixEvery for resulting claims, penalties, and costs (except where caused by TixEvery’s breach).
Suspension and Termination
TixEvery may suspend access, listings, or payouts for suspected fraud, policy breach, legal risk or non-payment. Either party may terminate this Agreement by giving 30 days’ notice. TixEvery may terminate immediately for serious or repeated breaches, fraud, unlawful activity, or significant risk to customers or the Platform. Termination does not affect obligations in respect of outstanding Orders, refunds, chargebacks, disputes, taxes, or any amounts owed.
Liability
14.1 Platform availability. The Platform is provided on an “as available” basis. While we aim for high availability, we do not guarantee uninterrupted or error-free operation, and we are not responsible for interruptions caused by third-party services, internet outages, force majeure events, or circumstances outside our reasonable control.
14.2 No liability for Event performance or fulfilment. As the Organiser is the seller/merchant of record, TixEvery is not responsible for the Event itself, venue operations, performer appearance, fulfilment of Products/Add-ons, or the Organiser’s customer service, policies, or legal compliance.
14.3 Indirect losses. To the maximum extent permitted by law, TixEvery will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of goodwill, or business interruption arising out of or in connection with the Platform or this Agreement.
14.4 Liability cap. Subject to clause 14.5, TixEvery’s total aggregate liability to the Organiser for all claims arising out of or in connection with this Agreement (whether in contract, tort, negligence, breach of statutory duty or otherwise) will not exceed the total Platform fees actually paid by the Organiser to TixEvery in the three (3) months immediately preceding the event giving rise to the claim.
14.5 Non-excludable liability. Nothing in this Agreement limits or excludes liability that cannot be limited or excluded by law, including liability for fraud or fraudulent misrepresentation.
14.6 Customer claims. If a Buyer pursues a claim against TixEvery relating to an Event, Tickets, Products or Add-ons, the Organiser agrees to cooperate fully and, where the claim relates to the Organiser’s Event/listing/fulfilment, the Organiser will indemnify TixEvery in accordance with clause 15.
Indemnities
The Organiser indemnifies TixEvery against claims, losses, liabilities, costs and expenses arising from or relating to: (a) Event delivery and listings (including cancellation/postponement/material change); (b) Products/Add-ons and fulfilment; (c) refunds, chargebacks, disputes and complaints; (d) tax/VAT obligations and any misstatements; (e) IP/rights infringements or unauthorised merchandising; (f) data protection/marketing breaches (including failure to honour opt-outs); and (g) Organiser breach of law or this Agreement.
Additional organiser operating obligations
Organisers must complete identity, KYC, sanctions, risk and Stripe Connect verification checks where requested. Payout account changes may be reviewed, delayed or held to prevent fraud or double payment. TixEvery may apply refund reserves, negative balance deductions or pending refund blocks where events are cancelled, postponed, disputed or high risk.
Organisers are responsible for venue licences, insurance, public safety, performance rights, artist permissions, age restrictions, accessibility information, marketing claims and use of venue, artist, promoter or customer images and IP. AI-generated copy, assets or recommendations must be reviewed by the organiser before use.
Customer data exports may be used only for lawful event administration and compliant marketing. Organisers must respect consent, PECR soft opt-in rules, opt-outs at the point of data collection where required and in every marketing message, suppression lists and any purpose limits shown in the platform. Shared Show HQ access, profile claims, co-hosted shows and account ownership disputes must be managed honestly, with access removed when relationships end.
Use of TixEvery widgets, embedded checkout, white-label pages or own-domain pages must not hide required disclosures, interfere with checkout security or misrepresent who is selling the event. After termination, access to data, exports and reports may be limited to what is reasonably needed for legal, accounting, customer support or dispute purposes.
Governing Law
These Organiser Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction.
